1. Service Provider

2. Scope of services
These Terms apply to all web development, design, hosting and consulting services described on this website and agreed upon in individual project proposals or contracts. Each project scope, timeline and price is defined in a separate written agreement (contract or invoice) between the Parties.
3. Orders and agreements
A service agreement is formed when both parties have confirmed the project scope, timeline and price in writing (email, Telegram or signed contract). Submission of the contact form or payment of an advance invoice constitutes acceptance of these Terms.
4. Payment
- Payment terms are specified in each project proposal (typically 50% advance, 50% on delivery).
- Accepted payment methods: SEPA/international bank transfer, Wise, USDT (TRC-20 or ERC-20).
- Invoices are issued by IE Vasyl Sirenko (INN 322960649, Georgia) and are valid for accounting and tax purposes.
- IE Vasyl Sirenko operates under the Georgian small business tax regime and is VAT-exempt; no VAT is charged on invoices.
- Late payments may incur a 1% monthly interest charge after 14 days past due date.
5. Delivery and revisions
Delivery timelines are specified per project. Standard agreements include up to 3 rounds of revisions within the defined scope. Additional changes outside the agreed scope will be quoted separately.
6. Intellectual property
Upon full payment, the Client receives full ownership of all custom code and design assets created for their project. Third-party components (open-source libraries, WordPress plugins, stock images) remain subject to their respective licences. The Service Provider retains the right to reference the project in portfolio materials unless the Client requests otherwise in writing.
7. Confidentiality
Both parties agree to treat project details, technical information and business data shared during the engagement as confidential and not to disclose them to third parties without prior written consent.
8. Client obligations
The Client agrees to:
- Provide necessary content, access credentials and feedback in a timely manner
- Ensure they have the rights to all content (text, images, trademarks) they provide
- Not use delivered work for any unlawful purpose
9. Limitation of liability
The Service Provider is not liable for losses arising from third-party service failures (hosting, domain registrars, payment processors), client-provided content, or modifications made by the Client after delivery. Total liability shall not exceed the amount paid for the specific project in question.
10. Warranty
The Service Provider warrants that the delivered work will function as specified for 30 days after delivery ("warranty period"). Bugs or defects within the original scope will be fixed at no additional cost during this period. The warranty does not cover changes in third-party APIs, plugin updates or modifications by the Client.
11. Governing law and disputes
These Terms are governed by the laws of Georgia. For EU clients, mandatory consumer protection rules of their country of residence continue to apply. Disputes shall be resolved first through good-faith negotiation; if unresolved within 30 days, through the competent courts of Tbilisi, Georgia.
12. Changes to these Terms
The Service Provider may update these Terms. Changes apply to new projects accepted after the updated date. Ongoing projects are governed by the Terms in effect at the time of agreement.
